We frequently help connect companies with our network of financing sources and other service providers. But our work doesn’t stop at inception. We take many of our clients through multiple rounds of financing and ultimately to successful exits by merger or sale.
Our entrepreneurship and business services include the
following:
- Entity selection and formation
- Founder equity arrangements
- Executive compensation and stock incentive plans
- Management employment agreements
- IP licensing, trademark registrations, terms of
use, master services agreements, sales, distribution and other strategic
business agreements
- Board advisory and governance arrangements,
including independent committee representation
- Equity and debt financings
- Mergers and acquisitions
- Securities matters
- Joint ventures
- Cross-border transactions and investments
- Non-litigation dispute resolution
We
collaborate with our clients on an intense, personal basis without having to
field a large and costly team of lawyers on a project. We don’t just practice
corporate law. Rather, we bring a business perspective to our legal advice—sharing our insight after literally working on more than 500 startup company
transactions throughout our careers. We provide frank and candid feedback on
what financing and business terms are currently accepted in the market.
Our primary focus is on partnering with our clients to understand their businesses and function seamlessly as key strategic advisors. You will find us easy to reach and easy to work with. All of our lawyers are dedicated to making a difference in your company. We emphasize speed and judgment without compromising precision and clarity.
All of our work involves entrepreneurship, but recent engagements include:
- Boston-Power Inc.
From before its inception through over $300 million in equity financing and the development of manufacturing facilities throughout Asia. Although the company transitioned away from the founder’s initial management team, the company retained continuity in its operations by continuing to work with Feinberg Hanson on legal matters. Since this transition, Boston-Power has morphed into a China-based technology company, backed by venture and private equity investors around the world. We continue to serve as counsel. - Buoy Health
formed to provide an interactive on-line medical diagnostic and treatment information resource to consumers. The founding group is comprised of Harvard and Rice graduates with a background in medicine, technology and business. Our firm has assisted with formation and governance matters, convertible note and preferred stock financings, as well as the negotiation and documentation of pilot and service agreements with leading hospitals and research institutions.
