Attorney- Commercial Associate

Full-time opportunity for an experienced corporate associate with at least 2 - 4 years of sophisticated experience negotiating and documenting commercial agreements, including software and patent license agreements, manufacturing agreements, distribution or VAR agreements or similar commercial contracts.  Extra plus for people who have expertise in data privacy issues, online terms of use and privacy policies, trademarks, or biotech (i.e, sponsored research and the like) agreements as well as experience with more general corporate work, including M&A and venture capital transactions. Responsibilities:

• Provide high-level guidance and innovative solutions to clients on a broad array of commercial matters.
• Prepare and review commercial agreements and related documentation.
  
• Proactively manage all regulatory, risk and compliance matters.
  
• Draft, review and negotiate contracts.
  
• Effectively act as a trusted advisor to clients.
  

Requirements:

• 2 - 4 years of successful experience with a large firm, handling all aspects of corporate work, including commercial agreements, licenses and similar agreements.
• Preference for candidates who also have general corporate experience, including M&A and venture capital transactions.
  
• JD with high academic achievement.
  
• Client-focused, with strong interpersonal, communications, analytical, technical and negotiation skills.
  
• Proactive, entrepreneurial and resourceful, with ability to effectively manage multiple priorities and transactional deadlines.
  
• Proven ability to develop strong client relationships and work effectively within a team-oriented environment.
  
• Member of MA bar.
  
• Knowledge of federal and state securities laws.
