Josh Rissmiller helps entrepreneurs, high growth companies and private equity firms successfully complete mergers and acquisitions, private equity transactions and investments in emerging companies.

He also provides counsel on day-to-day corporate legal needs such as routine contracts and employee agreements. He has represented a diverse group of clients across many industries but has a particular focus in technology and life sciences.

Josh enjoys working with both investment-side and company-side clients to craft creative solutions to deal-related issues. He has worked on mergers valued in the billions as well as seed financings valued in the thousands. Many of the matters have involved transactions with complex structures, such as tender offers, fund formations, minority private equity investments, joint ventures, recapitalizations, spin-offs, and purchase option transactions.

Below is a sample of the recent transactions Josh has worked on:

  • in its acquisition of Lumara Health Inc. for a value of approximately $1 billion. Josh was heavily involved in drafting and negotiating the merger agreement, which included earn-out provisions and provided for the issuance of AMAG stock as deal consideration, and coordinating all other aspects of the transaction.
  • in connection with a combined equity investment and option transaction with Preceres LLC, a company that is researching novel approaches to biological pest, virus and weed control Preceres was jointly founded by Monsanto and Professor Daniel Anderson, Ph.D. of MIT. This transaction involved a series of staged equity investments tied to milestones, combined with a purchase option and service agreements.
  • a private equity fund with approximately $8.5 billion in capital under management, in connection with its growth equity investments in Youfit Health Clubs, which operates over sixty health clubs in seven states, and BuildASign.com, an online provider of custom signage products. These investments involved negotiation of complex cash distribution and joint management arrangements in the context of limited liability companies.
  • a provider of credit services to businesses, in a merger with its former parent company, Dun & Bradstreet (NYSE: DNB), at a value of approximately $350 million (including contingent payments of up to $30 million).
  • a Boston-based private equity fund, in its sale of VaultLogix, a cloud data storage company, to InterCloud Systems, Inc. (NASDAQ: ICLD) at a value of approximately $44 million. Josh led the drafting and negotiation of the purchase agreement, which included deal consideration combining cash, stock, and promissory notes. He was also involved in VaultLogix’s financing arrangements for closing.
  • a global nonprofit dedicated to building a financially inclusive world, in connection with an equity investment in GO Finance, a Tanzanian company providing financing solutions to small and medium-sized businesses. Josh was responsible for the drafting and negotiation of this cross-border venture deal, and coordinating with Tanzanian counsel regarding local regulatory issues.
  • a real estate investment fund, in connection with the formation of its Fund IX, with over $1.5 billion of capital under management, and the acquisition of a majority interest in three luxury hotels from Millennium Partners, including the Ritz-Carlton Boston. Josh was involved in negotiations over investment terms with a number of large institutional investors in Westbrook’s Fund IX, and helped Westbrook construct a multi-layered joint investment structure with Millennium Partners related to the hotel purchase.

Josh joined Feinberg Hanson in October 2015. Prior to joining Feinberg Hanson, he was an associate in the corporate department of the Boston office of Latham & Watkins, where he primarily represented clients in mergers and acquisitions and private equity transactions. Before relocating back to the Boston area, Josh worked in New York as an associate at Cravath, Swaine & Moore, where he was a member of the mergers and acquisitions, real estate, finance and securities groups. Josh has been admitted to the Massachusetts and New York bars.
