Hayley's practice involves advising early-stage companies on a variety of matters including formation and founder issues, equity structure, financing, and governance.

Hayley’s venture capital experience includes representing both investors and issuers in initial-and late-stage venture capital financings. She also has experience advising on complex corporate transactions, including later stage M&A and Capital Markets transactions.

Representative Experience:

  • Represented an early stage software company in Series A Financing led by foreign investment fund
  • Represented a food processing technology company in convertible note offering
  • Represented a venture capital fund in the sale of its equity stake in foreign manufacturer to a global institutional investor
  • Represented a Boston based venture capital fund in its investment in various preferred stock financings
  • Represented a national engineered materials manufacturer in its multimillion-dollar acquisition of a specialty materials company
  • Represented a global technology manufacturer inits corporate restructuring following a strategic acquisition  
  • Represented a Boston-based biotechnology company in its initial public offering

Hayley joined the Feinberg Hanson team in January 2019. Prior to joining Feinberg Hanson, Hayley had been an associate in the corporate department of WilmerHale's Boston office. She has been admitted to the Massachusetts bar.
