Venture Capital & Private Equity

Our client base of entrepreneurs and high growth companies are voracious consumers of capital. As a result, venture capital and private equity comprise a critical component of our boutique corporate finance practice.

Growth companies, institutional private equity and venture capital firms regularly engage us on:

  • Structuring, negotiating and documenting private equity and venture capital investment transactions, ranging from seed-stage and angel financings to late stage growth equity financings
  • Preferred stock and debt financings, including convertible notes and subordinated mezzanine debt
  • Growth capital and minority investments
  • Fund formation
  • Equity and compensation incentive arrangements for management
  • Board advisory and governance, including independent committee representation
  • “Independent sponsors” and “Search funds”
  • U.S. and foreign investors and companies in connection with cross-border transactions

We are routinely across the table on transactions with the largest law firms in Boston, New York and Silicon Valley. We have a strong track record of helping our clients receive funding that takes them to the next level of growth. We have also represented many of the most prominent private equity and venture capital firms in the U.S. See the list of Representative Transactions below where we have acted as lead transaction counsel for our clients.

We start every matter with a focused mindset of getting a deal done, rather than only seeing the obstacles. This requires us to be both creative and practical in our approach. Our lawyers are experienced negotiators who are in the market every day closing sophisticated transactions. Our advice is grounded in a deep understanding of the market and how deal terms will affect short-term and long-term risk and economics.

We work with our clients on an intense, personal basis without having to field a large and costly team of lawyers on a project. Because all of our lawyers are trained with a core expertise in venture capital and mergers and acquisitions, we are able to function as legal quarterbacks to effectively represent our clients’ interests and get their deals closed quickly and efficiently. As a firm, we have an open architecture that allows us to bring in the best experts in specialized areas such as tax and regulatory matters without slowing down the process of getting deals done in an efficient manner. Unlike larger firms, our collaborative focus allows us to partner with the best experts suitable for a particular deal.

Our small team, boutique approach provides you with the right advice and excellent work product, but in a personal, efficient and very responsive way.

Representative transactions

Representative venture capital and private equity transactions include:

  • Representation of Boston-Power Inc.
in well over $300 million in venture financings led by Venrock, Oak Investment Partnership, Granite Global Ventures, GSR Ventures and the Wallenberg family of Sweden.
  • Representation of Excel Venture Management
in multiple transactions, including its recent investments in N-of-One, a molecular decision support company that provides clinicians with interpretations of molecular test results, Shape Up, a social wellness and employee health services company, Zipongo, a food benefits platform, WellDoc, a digital health technology company, and Oculus Health, a chronic care management company.
  • Representation of PARx Solutions Inc.
a leading pharmaceutical services business, on its strategic investment by WPP, Inc. The transaction involved intense commercial and financial negotiations and required that attorneys push a deal forward with strategic investors who were less concerned about timing than our cash-strapped client.
  • Generation Equity Capital
Feinberg Hanson has regularly represented Generation Equity Capital and its predecessor, Generation Equity Investors, in multiple control and non-control investment transactions in the micro-cap small-business investment space. Acquisitions and investments have included significant investment positions in STA, a retail consignment chain known as 2nd Time Around; Dancing Deer Bakery; Sherrill Tree, an arborist supply company; and numerous other acquisitions. We are currently key advisors to Generation Equity Capital and counsel to its new $50 million private equity investment fund.
  • Bulger Partners
Feinberg Hanson serves as general counsel to Bulger Partners, a new model advisory firm focused on software driven companies delivering strategy consulting and investment banking.  Bulger Partners also manages a successful private equity investment fund.  We advise on Bulger's organizational, transactions and investment activities, as well as serving as fund counsel for its new $50 million private equity fund.
  • Beliefnet.com, LifePosts.com and other new media companies
Feinberg Hanson represented Beliefnet.com through its formation and multiple venture financings and ultimately its sale to Twentieth Century Fox. When Beliefnet’s founder started a new, web media company named LifePosts.com, he again turned to Feinberg Hanson for counsel. We have also represented a variety of other new media companies, including Surface Travel (founded by Mike Keriakos, the founder and former CEO of Everydayhealth.com (NYSE: EVDY) and backed by Greycroft Partners) and Playground Sessions, a music education company co-founded by Quincy Jones.
  • Street Diligence, Soleil Securities Group and other fin-tech companies
Over the years, Feinberg Hanson has represented both entrepreneurs and investors in an array of fin-tech companies. Recently we completed the Series A funding of Street Diligence, a fintech platform for investment professionals to rapidly evaluate and analyze complex high yield bonds and bank loans.  We also represented a research-based broker-dealer named Soleil Securities in multiple financings led by Bessemer Ventures and Bain Capital and recently represented institutional investors in a new algorithmic trading firm.
