Betsy O’Leary utilizes her diverse skills when counseling entrepreneurs, companies, and investors on varied corporate and transactional matters including formation, founder issues, financing, and governance.

Betsy advises entrepreneurs and early-stage companies ongovernance, financings, and other general corporate matters. She alsorepresents companies and investors in mergers, acquisitions, and commercialtransactions, and has prior experience in capital markets transactions.

Representative Experience:

  • Represented silicon-carbon manufacturer in its $17 million Series B preferred stock financing and later its $400 million Series C preferred stockfinancing.
  • Represented remote healthcare provider it its $132 million Series B preferred stock financing.
  • Represented several early-stage companies in various industries in Series Seed and Series A financings.
  • Represented several pre-Seed companies in convertible note financings and SAFE financings.
  • Represented skills mapping and intelligence company, Hitch Works, Inc., in its acquisition by Service Now (NYSE: NOW).
  • Represented early-stage music platform provider in sale of assetsto private-equity-backed music platform company.
  • Represented biotech company, in its spin-out from its parent company.
  • Represented early-stage venture-backed healthcare company in secondary sale of founder stock.

Prior to joining Feinberg Hanson in March 2023, Betsy was an associate in the corporate group of Cooley LLP, where she primarily represented emerging high-growth companies and investors in a range of corporate transactions. Betsy has been admitted to the Washington State bar. Betsy has not been admitted to the Massachusetts bar and only practices Massachusetts law under the direct supervision of attorneys active and licensed in the Commonwealth of Massachusetts.
