Jeannette Carneiro McLaughlin has spent over 17 years representing companies in a broad range of industries, including software, digital media and entertainment, mobile, consumer internet, clean tech, medical device, and healthcare services.

She has extensive experience in mergers and acquisitions, private placements, venture capital financings and advising clients on general corporate matters. Jeannette’s work with companies spans the entire corporate life cycle, including strategic decisions prior to formation, venture capital financings, employment matters, commercial contracts, and mergers and acquisitions. 

Jeannette serves as outside general counsel to many of the firm’s clients. In this role, she manages their day-to-day global legal needs and handles a broad range of legal and business-related matters, including:

  • strategic advice on corporate planning;
  • corporate governance;
  • negotiation and drafting of commercial contracts;
  • technology and intellectual property protection;
  • sales support;
  • anti-corruption matters;
  • equity and debt financings;
  • joint ventures;
  • licensing agreements; and
  • executive employment agreements.

Some of Jeannette’s more recent work has included representing:

  • Peach Underneath, Inc., a company with an innovative lingerie and basics brand boasting a one-of-a-kind shopping experience. Feinberg Hanson has represented Peach from shortly after its initial formation as a Massachusetts limited liability company, through its conversion into a Delaware corporation and several rounds of convertible note and equity financing. Our work has spanned various management changes including the negotiation of a buyback of shares from an initial founder and the onboarding of a highly successful, serial entrepreneur and Harvard Business School Professor to be Chief Executive Officer.
  • Boston-Power, Inc., a lithium ion battery manufacturer, from inception through over $300 million in equity financing and the development of manufacturing facilities throughout Asia. Although the company transitioned away from the founder’s initial management team and morphed into a China-based technology company backed by venture and private-equity investors around the world, it continues to work with Feinberg Hanson as counsel.
  • Industrial Ecology Capital Management, a company implementing significant water infrastructure and purification projects globally. Feinberg Hanson’s representation includes negotiating acquisitions and financings of multiple entities and the organization of substantial activities in Latin America.
  • David C. McCourt, seasoned executive and entrepreneur, in multiple acquisitions and entrepreneurial activities. Feinberg Hanson has served as principal counsel to David C. McCourt, through multiple acquisitions and start-up enterprises. Recently, we have assisted Mr. McCourt in acquiring two telecommunications companies in Ireland and a satellite technology company in The Netherlands, with multiple investments in early stage data analytics companies and in forming a global web media company. Through these activities we have navigated complex issues of international tax and corporate law, coordinated our activities with multiple global law firms and coordinated the legal activities of Mr. McCourt’s core business development team
  • Dr. Hari Sundram, a serial entrepreneur, on several matters including as a founder of Predilytics, Inc. on matters relating to the sale of the company to Welltok, Inc.
  • Soleil Securities, Inc., a company backed by Bain Capital and Bessemer Venture Partners that provided brokerage and research services, through several rounds of financing and finally in a sale to Ticonderoga Securities LLC.
  • Hadley Capital, a private equity firm, in acquiring Centare Group, Ltd., a company that builds custom mobile, web and enterprise software applications for its clients. Feinberg Hanson handled all aspects of the acquisition and related financing, including the asset purchase agreement; senior and subordinated debt and preferred stock financing; and the employment and equity arrangements with management.

Jeannette serves as the Co-Chair of the Corporate Law Committee of the Boston Bar Association.

Prior to joining Feinberg Hanson LLP, Jeannette practiced at the law firm of Choate, Hall & Stewart, LLP where she counseled domestic and international companies on corporate governance, mergers and acquisitions, debt and equity financings, strategy and other day-to-day business matters. Prior to Choate, Jeannette practiced at the firm of Brobeck Hale and Dorr in London. There, she specialized in international business law with a focus on cross-border mergers and acquisitions, public and private placements, international placements of securities, initial public offerings and venture capital financings.
