Aaron Fields helps clients by learning their business and its trajectory and using his experience and understanding of the legal landscape to advise on how to best get from point A to point B and beyond.

Aaron has a broad range of experience in the practice ofcorporate law, working on both public and private M&A transactions (with aparticular expertise in corporate transaction insurance), fund formation andinvestment, and equity and debt financing, with an industry focus ontechnology, healthcare and education. Aaron has also served as outsidecorporate counsel for various private equity portfolio companies, providingsupport to the directors and officers on both a day-to-day basis and withregards to governance and potential transactions.

 

Aaron joined Feinberg Hanson in January of 2019.  Prior to joining the team, he was a corporate associate in the Boston office of Ropes& Gray LLP specializing in fund financing, acquisitions and representations and warranties insurance.  Prior to his legal career, Aaron spent ten years as an analyst at two small businesses and for a Fortune 500 company.  Aaron has been admitted to the Massachusetts bar.

Below are some examples of Aaron’s transactional experience.

  • Lightower Fiber Networks – Assisted in its $1.9 billion acquisition of Fibertech Networks, including the associated debt and investor financing.  When Lightower’s then owners, Berkshire Partners, decided to exit, Aaron assisted in the company’s $7.1 billion sale to Crown Castle International, including diligence, document negotiation and managing the regulatory approval process.
  • Hedge Fund Representation – Counseled prominent multinational hedge funds with respect to securities and international     regulatory compliance, including drafting private placement memoranda.
  • Transactional Insurance – Negotiated terms for buyer’s side representations and warranties insurance for over 20 acquisitions.
  • Partners Healthcare – Advised and negotiated terms in conjunction with various private equity investments.
